Terms and Conditions for DALP Zambia

1. Introduction

Welcome to DALP Zambia. These Terms and Conditions ("Terms") govern your access to and use of our consultancy, training, and related services (collectively, the "Services"). Please read these Terms carefully before using our Services.

2. Definitions

"DALP Zambia", "we", "us", or "our": Refers to DALP Consultancy Services, a company registered under the laws of Zambia, with its registered office at The Edu Hub 11. "Client", "you" or "your": Any individual or entity accessing or using our Services. "Agreement": These Terms together with any Service-specific order, proposal, or quotation.

3. Scope Of Services

3.1
We provide educational consultancy, training programs, student advising, and related services as described in our proposals, brochures, or online materials.
3.2
All Services rendered are governed by this Agreement unless otherwise agreed in writing.

4. Client Obligations

4.1
You agree to provide accurate, current, and complete information as required for delivery of Services.
4.2
You shall cooperate with DALP Zambia by providing feedback, approvals, and any necessary materials in a timely manner.

5. Fees and Payments

5.1
Our fees are set out in quotations or invoices provided to you. All fees are in Zambian Kwacha (ZMW) unless otherwise stated.
5.2
Unless otherwise agreed, payment is due within fourteen (14) days of invoice date. Late payments may incur interest at 2% per month.

6. Cancellation and Refund Policy

6.1
Cancellations by the Client must be made in writing.
6.2
For training programs or events, cancellation more than 14 days before the start date entitles the Client to a 5% refund; within 14 days, no refund is available.
6.3
Customized consultancy engagements cancelled after work has commenced are non-refundable; charges for services performed up to cancellation date remain due.

7. Intellectual Property

7.1
All materials, methodologies, and deliverables provided by DALP Zambia remain our exclusive intellectual property unless otherwise agreed.
7.2
Upon full payment, the Client is granted a non-exclusive, non-transferable license to use deliverables for their internal purposes.

8. Confidentiality

8.1
Each party shall keep confidential all information disclosed by the other that is designated "Confidential" or by its nature should be treated confidentially.
8.2
Confidentiality obligations survive termination of this Agreement for a period of five (5) years.

9. Cancellation and Refund Policy

9.1
To the maximum extent permitted by law, DALP Zambia's total liability under or in connection with this Agreement shall not exceed the total fees paid by the Client in the twelve (12) months preceding the event giving rise to liability.
9.2
We shall not be liable for any indirect, special, or consequential losses, including loss of profit or reputation.
9.3
You agree to indemnify, defend, and hold DALP Zambia harmless from any third-party claims arising out of your breach of these Terms or your misuse of the Services.

10. Termination

10.1
Either party may terminate this Agreement with immediate effect if the other party commits a material breach and fails to remedy it within thirty (30) days of notice.
10.2
Upon termination, all outstanding fees become immediately due and payable.

11. Amendments

We may amend these Terms from time to time by posting updated Terms on our website. Continued use of our Services after notification constitutes acceptance of the new Terms.

12. Governing Law and Dispute Resolution

12.1
This Agreement is governed by the laws of Zambia.
12.2
Any dispute arising under or in connection with this Agreement shall be referred to and finally resolved by arbitration in Lusaka under the rules of the Zambian Arbitration Association.

13. General Provisions

13.1
No waiver of any provision of these Terms is effective unless in writing and signed by both parties.
13.2
If any provision is held unenforceable, the remainder shall continue in full force and effect.
